Terms of Service

Please read these Terms of Service carefully before using Skumo. By installing or using Skumo, you agree to be bound by these terms.
1. Who We Are
Skumo is operated by Matthew Nuttall, a sole trader based in the United Kingdom.

References to "Skumo", "we", "us", or "our" in these terms refer to Matthew Nuttall trading as Skumo.
2. What Skumo Is
Skumo is a Shopify application that helps retailers manage purchase orders, suppliers, special customer orders, and stock counts. It integrates directly with your Shopify store to read product, inventory, and order data, and to update inventory levels on your behalf.
Skumo is made available through the Shopify App Store and operates within the Shopify platform. Your use of Skumo is also subject to Shopify's own terms of service.
3. Eligibility
To use Skumo you must:
- Be a business or operating in a business capacity (Skumo is not a consumer product)
- Hold a valid Shopify subscription
- Be at least 18 years old
- Have the authority to accept these terms on behalf of your business
Skumo is not intended for personal, household, or non-commercial use.
4. Your Account
Your Skumo account is linked to your Shopify store. You are responsible for:
- Keeping your Shopify account credentials secure
- All activity that occurs through your Skumo connection
- Ensuring that anyone on your team who uses Skumo does so in accordance with these terms

5. Subscription and Billing
Plans and pricing
Skumo is offered on a subscription basis. Current plans and pricing are displayed within the app. All prices are shown in US Dollars (USD) as required by the Shopify App Store.
Free trial
New installations include a free trial period as stated at the time of installation. No charge is made during the trial period.
Billing
All billing is processed by Shopify through the Shopify Billing API. By subscribing to a paid plan, you authorise Shopify to charge your payment method on a recurring basis at the interval applicable to your plan. Skumo does not handle or store your payment card details.
Changes to pricing
We may change subscription prices with reasonable notice. Where a price change affects your active subscription, we will notify you at least 30 days in advance. Continued use of Skumo after the effective date of a price change constitutes acceptance of the new price.
Cancellation
You may cancel your Skumo subscription at any time through your Shopify admin (Settings → Apps and sales channels). Cancellations take effect at the end of the current billing period. No refunds are issued for partial billing periods.
6. Acceptable Use
You agree not to use Skumo to:
- Violate any applicable law or regulation
- Access or attempt to access another user's data
- Attempt to reverse engineer, decompile, or extract the source code of the application
- Introduce malware, viruses, or other harmful code
- Use the application in a way that places excessive or unreasonable load on our infrastructure
- Resell or sublicense access to Skumo without our written permission
7. Shopify Platform Dependency
Skumo is built on and dependent upon the Shopify platform. We are not responsible for any unavailability of Skumo caused by Shopify outages, changes to Shopify's APIs, or changes to Shopify's policies. If Shopify makes changes that affect how Skumo functions, we will make reasonable efforts to update the application, but cannot guarantee uninterrupted functionality in all circumstances.
8. Intellectual Property
All intellectual property rights in Skumo — including the software, design, branding, and documentation — belong to Matthew Nuttall. These terms do not transfer any intellectual property rights to you.
Your data remains yours. We claim no ownership over the data you create or store through your use of Skumo.
9. Data and Privacy
Your use of Skumo involves the collection and processing of certain data. How we handle that data is set out in our [Privacy and Data Protection Policy]. By using Skumo, you agree to the processing of data as described in that policy.
You are responsible for ensuring that your use of Skumo — particularly the storage of customer information through the Special Orders feature — complies with your own obligations under applicable data protection law, including obtaining any necessary consents from your customers.
10. Disclaimer of Warranties
Skumo is provided "as is" and "as available". To the maximum extent permitted by law, we make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that:
- Skumo will be uninterrupted or error-free
- Any defects will be corrected
- Skumo will meet your specific business requirements
11. Limitation of Liability
To the maximum extent permitted by law, Matthew Nuttall shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of Skumo, including but not limited to loss of profits, loss of data, or business interruption.
Our total liability to you for any claim arising from these terms or your use of Skumo shall not exceed the total subscription fees you paid to us in the three months preceding the claim.
Nothing in these terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.
12. Indemnification
You agree to indemnify and hold harmless Matthew Nuttall from any claims, losses, or damages (including reasonable legal fees) arising from your violation of these terms or your misuse of Skumo.
13. Changes to These Terms
We may update these terms from time to time. If we make material changes, we will notify you via the email address associated with your account or through a notice within the application. Your continued use of Skumo after the effective date of the updated terms constitutes your acceptance of the changes.
14. Termination
We may suspend or terminate your access to Skumo immediately if you breach these terms, or if required to do so by law. On termination, your right to use Skumo ends immediately. We will retain your data in accordance with our Privacy and Data Protection Policy.
You may stop using Skumo at any time by uninstalling the app through your Shopify admin.
15. Governing Law and Disputes
These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms or your use of Skumo will be subject to the exclusive jurisdiction of the courts of England and Wales.
If you are a consumer (which would be unusual given Skumo's purpose), statutory consumer rights under English law are not affected by these terms.
